Terms of Service

These Terms of Service (“Terms”) govern your use of Sourgent (the “Service”), a business-to-business sourcing and negotiation tool that helps you draft purchase requirements, discover and evaluate suppliers, and negotiate and track quotes, using your own connected email and messaging accounts and, optionally, AI providers. By creating an account or using the Service you agree to these Terms.
Who this is for
The Service is intended for business use — sourcing products from suppliers on behalf of a company or organisation. You must be authorised to act on behalf of the workspace you create or join, and you are responsible for the accuracy of the sourcing requirements and pricing information you enter.
Your account and workspace
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. A workspace has member roles (Owner, Approver, Buyer, Viewer) that determine what each member may do; the workspace Owner is responsible for managing membership and roles.
Human approval of outbound communication
The Service may draft outbound messages to suppliers using an AI provider, but no message is sent, and no offer is accepted, confirmed, or ordered, without an explicit approval step by a person authorised in your workspace. You are responsible for reviewing AI-drafted content before it is sent or acted upon — the Service does not guarantee that AI-generated drafts, supplier evaluations, or price comparisons are accurate or complete.
Your confidential price
Any maximum or target price you set is used only to evaluate supplier offers against your own criteria. It is never included in a message to a supplier, never sent to an AI provider, and is stored separately from other workspace data with restricted read access — see the Privacy Policy for detail.
Connected third-party accounts
If you connect a Gmail mailbox or a WhatsApp Business number, you are responsible for ensuring you have the right to connect that account and to grant the Service the specific, least-privilege permissions it requests (see the Privacy Policy for exactly which permissions). You may disconnect a connected account at any time from the Integrations page; see the Data Deletion page for how to fully revoke access.
Acceptable use
You agree not to use the Service to:
- contact suppliers for any purpose outside legitimate business sourcing;
- attempt to bypass the Service’s approval controls or use it to send content you have not reviewed;
- upload unlawful content, or content you do not have the right to share;
- attempt to gain unauthorised access to another workspace’s data or to the Service’s infrastructure.
Your content
You retain ownership of the sourcing requirements, supplier data, messages, and files you provide to the Service (“your content”). You grant the Service the limited right to process your content solely to provide the Service to you (for example, to draft messages, evaluate quotes, or search for suppliers on your behalf).
No warranty
The Service is provided “as is”, without warranty of any kind, express or implied. We do not guarantee that any supplier found or evaluated through the Service is trustworthy, that any quote comparison is error-free, or that the Service will be uninterrupted or error-free. You are solely responsible for any agreement you enter into with a supplier.
Limitation of liability
To the maximum extent permitted by applicable law, the Service and its operator are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including losses arising from a supplier transaction, a supplier’s conduct, or reliance on AI-generated content.
Termination
You may stop using the Service at any time and request deletion of your data (see the Data Deletion page). We may suspend or terminate access to the Service for a violation of these Terms or applicable law.
Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by the laws of the People’s Democratic Republic of Algeria, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service is subject to the exclusive jurisdiction of the competent courts of Algeria.
